Companion Agreement
The agreement between Trustpanion and the people who offer companionship.
1. Who this applies to
1.1. This Agreement is between JurisChain Limited (Companies House No. 15561727), trading as "Trustpanion" (registered office: Flat 15, Empire House, 6 Thurloe Place, London, SW7 2RU, United Kingdom), and you, when you offer companionship through the Platform as a Companion. 1.2. It supplements the Terms of Service (including the Code of Conduct and Privacy Policy). For matters it covers, this Agreement prevails; everything else stays governed by those documents.
2. You are independent — and what that means
2.1. You are an independent individual, not an employee, worker, agent, partner or representative of Trustpanion. Nothing here creates employment, agency, partnership or a joint venture. 2.2. In practice, you decide: what you offer (the companionship and everyday help you provide, and their descriptions), your prices, your availability, which requests you accept, and how you conduct the time — within the safety and conduct rules that protect everyone. 2.3. Trustpanion does not assign you work, does not set quotas or schedules, does not supervise Sessions, and does not restrict you from offering services elsewhere (no exclusivity — Section 12). 2.4. You are responsible for running your activity as an independent provider, including the registrations, taxes and insurance that apply to you (Sections 3 and 6).
3. Verification and ongoing eligibility
3.1. Before publishing a profile you must complete Level 1 (on-device selfie match) and Level 2 (identity document via Persona). Before offering older-adult companionship you must additionally complete Level 3 (background check) — no exceptions. 3.2. You must be 18+, legally able to provide services in your market, and must keep your verification, profile and offer information accurate and current. 3.3. You must tell us promptly if anything happens that would change a Level 3 outcome (for example a new conviction of a relevant kind). Failing to do so is a material breach.
4. The service you offer — and the hard lines
4.1. Your offer is platonic companionship and everyday help for older adults (and others). You accompany people; you never act on their behalf. You must not offer, provide, imply or accept requests for: • sexual or romantic services of any kind (see Code of Conduct Section 1 — immediate permanent removal); • personal, clinical or domestic care — no medication, bathing, dressing, mobility/lifting, feeding, wound care, nursing, therapy or counselling services; • regulated professional services you are not licensed for (medical, psychological, legal or financial advice), even informally; • taking custody of a Client's cash, bank card, PIN, valuables, financial accounts or legal documents; making any purchase on a Client's behalf; or paying a Client's bills. On a shopping trip you go WITH the Client: they choose what they buy, they handle their own money and they pay for their own purchases, and you are there for the company and to help with the bags. If a Client asks you to go and buy something for them, you decline; • driving or otherwise transporting a Client, paid or unpaid. To an appointment or an outing you travel together with them, and any taxi or transport is booked and paid for by the Client or their family. 4.2. Why these lines exist. They are not paperwork. They are what keeps what you do outside "regulated activity relating to adults" (Schedule 4, Safeguarding Vulnerable Groups Act 2006, as amended) and what keeps you a companion rather than a carer. Financial exploitation is the most common form of elder abuse; the simplest protection for an older adult, and for you, is that you never touch their money and never act in their place. Breach of this Section is a material breach and grounds for immediate, permanent removal. 4.3. If a Client asks for anything in 4.1, decline clearly and report it where it endangers anyone. Repeated boundary-pushing by a Client is enforced against the Client, not you — reporting protects you. 4.4. You attend Sessions personally. No substitutes, no delegation, no bringing third parties without the Client's prior agreement in-app. Verification only works if the verified person shows up.
5. Money — today and later
5.1. Today, Trustpanion does not process payments, hold funds or operate escrow. You agree your price directly with the Client and collect payment directly from them, by the means you both agree. State your price and what it covers in-app, before the Session. Trustpanion currently charges you nothing. 5.2. When in-app payments launch (Stripe in the UK, Payku in Chile, US provider to be announced), Bookings in your market will be paid through the Platform, and Trustpanion will deduct a platform commission of 15–20% per Booking. Exact commission, payout timing, and the cancellation/refund policy will be published before activation, with reasonable advance notice. From that point, taking platform-originated Bookings off-platform to avoid the commission is a material breach. 5.3. You are responsible for your own pricing decisions and for complying with price-transparency rules that apply to you. Nothing in this Agreement fixes, suggests or coordinates prices between Companions.
6. Taxes, registrations and insurance
6.1. Taxes are entirely yours: declaring and paying income tax, self-employment/social-security contributions, and any VAT/sales-tax obligations on your earnings (UK: HMRC self-assessment; Chile: boletas de honorarios / SII; US: federal and state self-employment tax). Trustpanion does not withhold, remit or advise on taxes. 6.2. You are responsible for any registrations or permits your own activity requires. 6.3. Insurance: Trustpanion does not insure you, your Clients or Sessions. We strongly recommend you hold appropriate public-liability insurance for in-person activities.
7. Older-adult companionship and Institutional Programmes
7.1. All of Code of Conduct Section 7 applies to you as hard obligations: company never care; hands off their money and their purchases; you never buy on their behalf and never pay their bills; you never drive them; Level 3 mandatory; watch and report. 7.2. For Institutional Programmes (councils/NHS in the UK, municipalidades in Chile), you must also complete any programme-specific checks or training, follow the programme's safeguarding and reporting procedures, and keep programme information confidential. The institutional agreement's requirements prevail for that programme. 7.3. You must not present yourself as a carer, care worker, nurse or health professional in connection with Trustpanion, in your profile or anywhere else.
8. Your profile, content and marketing
8.1. Your profile must be accurate, yours, and consistent with the platonic positioning of the Platform. You keep ownership of your content; the Terms of Service licence (Section 11) lets us operate the Platform with it. 8.2. You may say you offer companionship "on Trustpanion", but you must not imply employment by, or endorsement or certification beyond verification from, Trustpanion, and you may not use our brand assets without written permission. 8.3. No advertising of off-platform contact or other booking channels inside your profile or messages.
9. Client data: your confidentiality duties
9.1. Through Bookings you receive Clients' personal information (name, plans, sometimes sensitive context — especially with older adults). You must: use it only to deliver the Booking; keep it confidential; never build your own database from it, market to it, or share it; and delete it when no longer needed for the Booking. 9.2. For your own devices and records you act as an independent party responsible for your compliance with data-protection law.
10. Reviews and standing
10.1. Two-way reviews apply to you and to Clients equally. Never solicit fake reviews, offer undisclosed incentives, or retaliate through reviews (Code of Conduct Section 8; in the UK this is also a DMCC-banned practice). 10.2. Sustained poor conduct signals (no-shows, boundary-pushing, review manipulation) feed the enforcement ladder (Terms Section 16).
11. Suspension, removal and leaving
11.1. The Terms of Service enforcement ladder applies. Zero-tolerance breaches (sexual/romantic solicitation, endangering an older adult, violence, fraud, under-18 involvement) mean immediate permanent removal and possible referral to authorities. 11.2. You may stop offering companionship, pause, or delete your account at any time (settings). Confirmed Bookings you cannot honour should be cancelled in-app as early as possible. 11.3. On removal or exit: your profile is unpublished, this Agreement ends, and duties that by nature survive (confidentiality — Section 9, platonic/off-platform rules for past connections, and any accrued liabilities) survive.
12. No exclusivity
You may offer your time and companionship on other platforms or privately. What you may not do is use Trustpanion's Platform, data or connections to divert Trustpanion-originated relationships in breach of Section 5.2 or 8.3.
13. Liability between you and us
13.1. Nothing in this Agreement excludes liability that cannot lawfully be excluded (Terms Section 17.1). 13.2. You are responsible for how you conduct your Sessions and your compliance with laws that apply to your own activity. If your breach of this Agreement or the law causes a third-party claim against Trustpanion, the indemnity in Terms Section 18 applies. 13.3. Our liability to you is as set out in Terms Section 17.
14. Law and disputes
The market-specific governing-law and dispute provisions of Terms Section 19 apply between you and us.
